Job Purpose:
Manage all legal issues related to RPI Business Units' operations & commercial activities, acting as the legal adviser to RPI Senior Management and ensure the resolution of major legal issues affecting their strategic interests by: (1) Managing the Legal team and the day-to-day operation of the Legal department, (2) Overall responsibility for the delivery of legal services within RPI business Units and for the management of related legal risk, managing any legal disputes that arise, and overseeing the drafting and negotiation of contracts; (3) Advising Senior Management on legal issues relating to RPI and impact in OQ’s strategy and the execution thereof; (4) Setting the standards of professionalism and collegiality within the Legal team while continue building the resources and capabilities of the Legal function for RPI assets and Commercial activities, and; (5) managing the relationship with external stakeholders (including external legal services and Government institutions; in order to ensure RPI comply with all relevant laws and regulations, that legal risks are effectively managed, and that the business is well-positioned to meet the challenges and opportunities of the industry.
The position will act in accordance with OQ's mission, vision, values, and strategies, as well as policies, guidelines, and international standards, supported by an IT Technology platform, HSE local and international standards, Oman government and other legal justification and best international practices aligned with National objectives.
Main tasks and responsibilities
Accountabilities:
Strategic:
- Establish the short and long-term strategy for Legal at RPI based on Company’s Business strategy and translate it into business plans with objectives and performance indicators to measure success to support the achievement of the RPI strategic objectives.
- Build the Legal function in a manner to support the business efficiently and effectively, ensuring clear lines of responsibility and accountability.
Legal Compliance
- Oversees the Compliance with environmental regulations to ensure that the RPI operations comply with all relevant environmental regulations.
- Oversees the regulatory process to obtain permits, monitoring the RPI emissions and waste streams, and developing strategies to minimize their environmental impact.
- Ensure that RPI employees are aware of relevant laws and regulations
- Oversees the compliance training programs covering topics like workplace safety, environmental compliance, and anti-corruption laws.
- Lead the development of the RPI compliance and regulatory policies and standards in relation to Anti-Bribery, Corruption, Whistle-blower, Sanctions, Export Controls, Trademark and Brand Compliance and oversee their implementation to mitigate risk and ensure their business activities are carried out in an ethical manner and with integrity.
- Oversees the research, analysis and interpretation of proposed and existing laws, statutes, and regulations in all jurisdictions in which RPI operates, and their impact on Company’s business to plan for any changes / measures required.
Negotiations:
- Lead RPI negotiations of material agreements across a wide variety of transactions and discussions
Marketing / Commercial:
- Lead RPI negotiations with customers, suppliers, and other stakeholders including the commercial aspects of the deal, such as pricing, volume commitments, delivery schedules, and performance guarantees, as well as the legal implications of the contract.
- Manage Commercial disputes effectively to minimize their impact on the business by developing a litigation strategy that balances legal and commercial considerations, while managing the legal costs, and negotiating settlements that protect the RPI commercial interests.
- Support mergers and acquisitions (M&A) and divestitures and related commercial transactions, working closely with other departments, such as finance and operations, to assess the commercial viability of the transaction, negotiate the deal terms, and manage the legal and regulatory aspects of the transaction.
- Balancing legal and commercial considerations to ensure that the business is structured in a way that maximizes its opportunities while minimizing risks
Projects:
- Advising senior management and other members of the executive team on legal issues that may impact the business.
- Advising on broad spectrum of legal advice, from project development work, project implementation, project financing, structuring, M&A work, acquisitions and disposals, restructurings, corporate legal matters and claims.
- Drafting, review and negotiations of a variety of different, sometimes complex legal and commercial agreements – Nondisclosure and confidentiality agreements.
- Negotiate, draft and review number of business and commercial contracts and financing documentation for major transactions and evaluate and assess contractual claims and disputes of material magnitude.
- Assist contracts and procurement teams with OQ suite of standard agreements – updates and comments in tender and bid clarifications.
- Project development legal work - letters of intent, memorandum of understandings, heads of terms, term sheets and suite of definitive project agreements as well as all project and project implementation contracts (feasibility, FEED, EPC, and other Consultancy Agreements).
- For new project developments - responsible for all project agreements, term sheets for technology licensing, EPC, feedstock supply, operations and maintenance, power and water supply, utilities, land reservation and lease and product offtake, as well as joint venture agreements and shareholders’ agreements.
- Advice on sanctions, anti-bribery and corruption and all compliance matters for local and international offices
- keeping up to date with changes in legislation and regulatory requirements
- Providing general legal advice, opinions and memo’s to RPI in respect of all legal and contractual matters
- RPI contractor claims in most of the larger projects with material exposures to RPI to project teams involved with claims and need additional resources.
Contracts:
- Manage RPI contracts to conduct their operations, from supply contracts for raw materials to contracts with customers for the sale of finished products.
- Oversee the drafting and negotiation of these contracts to ensure that they are fair and legally binding.
- Set the strategy for contractual negotiation and documentation for the interest of RPI businesses
Risk Management:
- Conducting legal research, developing risk management strategies, and providing guidance on new initiatives.
Disputes:
- Managing disputes that might arise in RPI businesses, whether they involve customers, suppliers, or other stakeholders.
- Oversee and advise Legal on litigation and dispute settlement activities and lead instructions to external counsel
Stakeholder:
- Works closely with Senior Management in shaping the business strategy of the RPI
- Foster collaboration within the Legal team and the business lines/other functions to ensure Legal is appropriately positioned and utilised with the RPI business segments.
- Manage relationships with key stakeholders, particularly governmental authorities, and regulators, as well as external counsel and consultants
Continuous Improvements and Innovation:
- Design and implement digital transformation initiatives & embrace technology that enhance the efficiency of legal processes, improve collaboration and communication, and increase the accuracy and consistency of legal advice.
- Continuously reviewing and improving legal processes, such as contract management and dispute resolution, to reduce costs, increase efficiency, and improve outcomes.
- Measuring and tracking key performance indicators (KPIs) to identify areas where the legal function is performing well and areas where improvements are needed.
- Identify trends and patterns that may be useful in improving legal processes, identifying risks, and optimizing legal outcomes.
Supervisory:
- Manage Legal resources, to ensure appropriate skill set and capacity to address the legal demands of the RPI.
- Oversight and accountability in supporting the legal experts from RPI in leading the negotiations of agreements across a wide variety of transactions and discussions.
- Lead and manage the Legal staff, including workforce planning (hiring and deployment within the function), performance management and development of direct reports to maximize their potential and engagement.

Education requirements:
Undergraduate degree in Law (Required)
Authorized legal practice (Required)
Language Requirements:
English – Fluent (Required), including the ability to draft and review English language documents
Background and Experience:
- 15+ years of experience in law as a senior member of a corporate legal function (required)
Experience:
- Extensive experience with contract management, trade agreement, financing and corporate law
- Strong M&A experience
- Experience across legal disciplines, including compliance, governance and corporate law (required)
- Experience with working in the Sultanate of Oman legal framework
Background:
- Legal for Energy Industry with +5 years as senior member of a corproate legal function or partner in a law firm.
- A deep understanding of relevant laws and regulations is essential for this role, including expertise in areas such as environmental law, labor law, and contract law.
- Strong understanding of international law, including cross-border transactions, regulatory frameworks, and dispute resolution.
- In-depth understanding of the Energy industry
